4. User Responsibilities

4.1 Buyer Responsibilities

As a Buyer, you agree to:

• Conduct your own due diligence on factories before engaging in transactions
• Verify product specifications, quality, and compliance with applicable laws
• Comply with all applicable import/export regulations in your jurisdiction
• Pay for samples and products according to agreed terms
• Provide accurate shipping and contact information

4.2 Factory Responsibilities

As a Factory, you agree to:

• Provide accurate and complete information about your manufacturing capabilities
• Submit to our verification process, including production video verification
• Honor sample and production commitments made through the platform
• Maintain product quality consistent with samples provided
• Comply with all applicable manufacturing and export regulations

4.3 Prohibited Activities

You agree not to:

1. Use the Service for any illegal purpose or in violation of any laws
2. Post false, inaccurate, misleading, or deceptive content
3. Infringe upon the intellectual property rights of others
4. Transmit viruses, malware, or any other malicious code
5. Attempt to gain unauthorized access to the Service or other users' accounts
6. Use the Service to harass, abuse, or harm another person
7. Circumvent or attempt to circumvent any security measures
8. Use automated systems or software to extract data from the Service

5. Intellectual Property

The Service and its original content, features, and functionality are owned by FactoryFollow and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not:

• Modify, copy, or create derivative works of the Service
• Use the FactoryFollow name, logo, or trademarks without our express written consent
• Reverse engineer, decompile, or disassemble any portion of the Service
• Remove any copyright, trademark, or other proprietary notices

By posting Content on the Service, you grant FactoryFollow a worldwide, non-exclusive, royalty-free license to use, reproduce, adapt, publish, and display such Content for the purpose of operating and promoting the Service.

6. Payment and Fees

6.1 Sample Fees

When you request a sample through our platform:

• You agree to pay the sample fee quoted by the factory
• Sample fees typically include product cost and shipping
• Additional charges may apply for expedited shipping or custom requirements
• All payments are processed through our secure payment system

6.2 Escrow Service

For sample orders, we offer an escrow service where:

1. Payment is held securely until you confirm sample receipt and quality
2. Funds are released to the factory only after your approval
3. Disputes are mediated by FactoryFollow according to our dispute resolution policy

6.3 Service Fees

FactoryFollow may charge service fees for certain premium features. These fees will be clearly disclosed before you commit to using such features.

6.4 Refunds

Refund policies vary depending on the specific circumstances:

7. Disclaimers and Limitations of Liability

7.1 Service "As Is"

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. FactoryFollow expressly disclaims all warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

7.2 Factory Verification

While we conduct verification checks on factories listed on our platform:

To the maximum extent permitted by applicable law, FactoryFollow shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, goodwill, or other intangible losses
• Damages resulting from transactions between buyers and factories
• Factory non-performance, product defects, or shipping issues
• Unauthorized access to or alteration of your transmissions or data

Our total liability to you for all claims arising from or related to the Service shall not exceed the amount you have paid to FactoryFollow in the last 12 months, or $100, whichever is greater.

8. Indemnification

You agree to indemnify, defend, and hold harmless FactoryFollow and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

1. Your use of and access to the Service
2. Your violation of any term of these Terms
3. Your violation of any third-party right, including without limitation any copyright, property, or privacy right
4. Any claim that your Content caused damage to a third party
5. Your interactions with factories or other users of the Service

9. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including but not limited to a breach of the Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of Hong Kong Special Administrative Region, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in Hong Kong, in accordance with the Hong Kong International Arbitration Centre rules.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.

12. Miscellaneous

12.1 Entire Agreement

These Terms constitute the entire agreement between you and FactoryFollow regarding our Service and supersede all prior agreements and understandings.

12.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

12.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

12.4 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void.

12.5 Force Majeure

FactoryFollow shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond FactoryFollow's reasonable control, including, without limitation, mechanical, electronic or communications failure or degradation.
